By accessing or using the Xeed platform, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform. Trading cryptocurrencies involves substantial risk of loss and may not be suitable for all investors.

1. Agreement to Terms

Welcome to Xeed. These Terms of Service ("Terms") constitute a legally binding agreement between you and Xeed governing your access to and use of the Xeed platform, website, and all related services (collectively, the "Platform").

These Terms apply to all users of the Platform, including token creators, traders, and visitors.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Platform under applicable laws
  • Not be located in prohibited jurisdictions (Cuba, Iran, North Korea, Syria, or sanctioned regions)

You are responsible for compliance with all applicable laws in your jurisdiction, including securities laws, tax obligations, and financial regulations.

3. Platform Services

Xeed provides a decentralized token launchpad and trading platform with:

3.1 Token Creation

  • Create SPL tokens on Solana with custom metadata
  • Upload token images and metadata to IPFS (permanent storage)
  • Automatic bonding curve initialization
  • Creator token purchase limits (8% of supply)

3.2 Hybrid Trading System

  • Bonding Curve AMM: Automated market maker with dynamic pricing
  • Limit Order Book: Place and cancel sell orders at specific prices
  • Hybrid Execution: Buys fill from order book first, then bonding curve
  • Anti-Sniper Protection: 100% to 0% tax in first 10 seconds

3.3 Reward Systems

  • Buy pot rewards for last buyers
  • Graduation rewards for triggering token migration
  • Creator fees from all trades
  • Farm points based on trading volume

3.4 Token Graduation

  • Automatic migration to Raydium AMM at graduation threshold
  • Permanent liquidity locking (LP tokens burned)
  • Immutable token metadata post-graduation

4. User Responsibilities

Wallet Security:

  • You are solely responsible for securing your wallet and private keys
  • We never ask for your private keys or seed phrase
  • All transactions from your wallet are your responsibility
  • Report suspicious activity immediately

Transaction Verification:

  • Always verify transaction details in your wallet before confirming
  • Understand the transaction type and consequences
  • Check gas fees and total transaction cost
  • Blockchain transactions are irreversible

Due Diligence:

  • Research tokens thoroughly before purchasing
  • Verify token creator information and social links
  • Make your own investment decisions
  • Understand the risks of speculative assets

5. Prohibited Conduct

You agree NOT to:

  • Engage in market manipulation, wash trading, or spoofing
  • Use bots or scripts to manipulate trading or rewards
  • Create tokens with fraudulent or malicious intent
  • Upload inappropriate, offensive, or copyrighted content
  • Exploit bugs or vulnerabilities for personal gain
  • Front-run transactions or manipulate prices
  • Violate any applicable laws or regulations
  • Attempt to circumvent creator token limits

Violation may result in immediate account termination and legal action.

6. Trading Risks and Disclaimers

Trading cryptocurrencies and tokens involves substantial risk of loss and may not be suitable for all investors. You may lose your entire investment.

  • Token values can be extremely volatile and may drop to zero
  • Tokens may have limited or no liquidity
  • Token projects may be abandoned by creators
  • Smart contracts may contain bugs or vulnerabilities
  • Past performance does not indicate future results

WE DO NOT RECOMMEND THAT ANY TOKEN BE BOUGHT, SOLD, OR HELD BY YOU.The Platform does not provide investment, financial, or legal advice. Token listings do not constitute endorsements. You must make your own independent decisions.

Blockchain Risks:

  • Blockchain transactions are irreversible and cannot be canceled
  • Network congestion may delay or fail transactions
  • Gas fees are non-refundable even if transactions fail
  • We cannot reverse or modify blockchain transactions

7. Fees

Token Creation Fees:

  • Base fee: 0.0125 SOL for 500 SOL graduation threshold
  • Additional fee: 0.0125 SOL per 250 SOL increment above 500 SOL
  • All fees are non-refundable

Trading Fees:

  • Buy transactions: 1.5% total (platform, buyback, creator, pot reward)
  • Sell transactions: 2% total (platform, buyback, creator, pot reward)
  • Fee percentages may be updated by platform authority

Network Fees:

You are responsible for Solana network transaction fees (gas) and any fees charged by your wallet provider.

8. Disclaimers

"AS IS" PROVISION

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee:

  • Continuous Platform availability
  • Transaction execution speed or success
  • Data accuracy or integrity
  • Security or virus-free operation

Third-Party Services: The Platform integrates with Solana blockchain, IPFS, wallet providers, Raydium AMM, and RPC node providers. We are not responsible for third-party service failures or security breaches.

9. Limitation of Liability

MAXIMUM LIABILITY CAP

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XEED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Our total liability to you for all claims shall not exceed the greater of $100 USD or the total fees you paid to Xeed in the 12 months preceding the claim.

We are not liable for:

  • Loss of profits, revenue, data, or business opportunities
  • Token value losses or market volatility
  • Unauthorized access to your wallet or accounts
  • Smart contract errors, bugs, or vulnerabilities
  • Transaction failures or delays
  • Third-party actions or omissions

10. Dispute Resolution

Binding Arbitration and Class Action Waiver

BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE ALL DISPUTES THROUGH BINDING ARBITRATION AND WAIVE YOUR RIGHT TO A JURY TRIAL OR CLASS ACTION. You agree to bring claims only in your individual capacity and not as a plaintiff or class member.

Before filing any legal claim, you agree to attempt informal resolution by contacting us at legal@xeed.fun. We will attempt to resolve disputes within 60 days.

11. Termination

We reserve the right to suspend or terminate your access immediately, without notice, for:

  • Violation of these Terms
  • Engaging in prohibited conduct
  • Fraudulent or illegal activity
  • Risk of harm to the Platform or other users
  • Compliance with law or legal orders
  • Any reason at our sole discretion

Upon termination, on-chain tokens and transactions remain permanent. We shall not be liable for any termination of your access.

12. Changes to Terms

We may modify these Terms at any time by posting updated Terms on the Platform and updating the "Last Updated" date. Your continued use after changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.
